Welcome to MJ-Tech's PDFs (the "Service"), operated by NomadCode LLC, known as MJ-Tech ("us", "we", or "our"). These Terms of Service ("Terms") govern your access to and use of our website and services. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.
1. Service Description
Our Service provides users with tools to upload PDF documents, add signature fields, date fields, and apply electronic signatures ("e-signatures") to these documents. The Service is offered free of charge and does not require user account creation for its core functionalities. We aim to provide a seamless experience without watermarking documents processed under normal usage conditions.
2. Acceptance of Terms
By uploading a document, interacting with any feature of the Service, or otherwise accessing the Service, you confirm that you have read, understood, and unconditionally accept to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you are prohibited from using the Service.
3. User Responsibilities and Conduct
You agree to use the Service responsibly, ethically, and in full compliance with all applicable local, state, national, and international laws and regulations. You are solely responsible for the content you upload, share, edit, and sign using the Service, as well as for the legality of the e-signatures applied.
You explicitly agree not to use the Service to:
- Upload, transmit, process, or share any content that is unlawful, illegal, fraudulent, harmful, threatening, abusive, harassing, defamatory, libelous, vulgar, obscene, pornographic, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
- Upload or transmit any content that you do not possess the legal right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary, and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
- Infringe upon any patent, trademark, trade secret, copyright, right of publicity, or other proprietary or intellectual property rights of any party.
- Upload or transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
- Upload or transmit any material that contains software viruses, worms, Trojan horses, or any other malicious computer code, files, or programs designed to interrupt, destroy, corrupt, or limit the functionality of any computer software or hardware or telecommunications equipment.
- Interfere with, disrupt, or negatively affect the Service, or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service.
- Attempt to gain unauthorized access to the Service, other users' data (if any were to be stored), or computer systems or networks connected to the Service.
- Use the Service for any purpose that is illegal or prohibited by these Terms.
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, removing the offending content from the Service and terminating access for such violators.
4. Content Ownership, Data Handling, and Storage
You retain all ownership rights, including intellectual property rights, to the PDF documents and any content you upload, create, or modify using the Service ("User Content"). We do not claim any ownership over your User Content.
By uploading User Content, you grant us a limited, temporary, worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify (e.g., for formatting, applying signatures), process, and transmit such User Content solely for the purpose of providing, operating, and improving the Service to you. This license terminates when your User Content is deleted from our systems as described below.
Our Service is designed for temporary processing. Uploaded PDF files, associated field data, and finalized signed documents are stored temporarily on our servers to facilitate the editing, signing, and download process. We automatically delete these files from our active systems **7 (seven) days** after their last processing activity (e.g., upload, finalization, or when a signing link expires). This is a core part of our commitment to user privacy and data minimization for our free service.
You are solely responsible for downloading and securely storing your finalized documents. Our Service is not intended as a long-term document storage or backup solution. We are not liable for any loss of data or User Content after the expiration of this temporary storage period.
5. Intellectual Property of the Service
All rights, title, and interest in and to the Service itself (excluding User Content), including but not limited to its software, website design, text, graphics, logos, icons, images, audio clips, video clips, data compilations, and the selection and arrangement thereof, as well as all underlying technology and related intellectual property rights, are and will remain the exclusive property of MJ-Tech (or "MJ-Tech's PDFs" or your specific brand name) and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
6. Privacy
Your privacy is critically important to us. Our Privacy Policy, which is incorporated by reference into these Terms, explains how we collect, use, protect, and when we disclose your information. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.
7. Disclaimers of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NomadCode LLC, KNOWN AS MJ-Tech EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS; (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE (INCLUDING THE LEGAL VALIDITY OR ENFORCEABILITY OF ELECTRONIC SIGNATURES) WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR YOUR PURPOSES; (IV) THE QUALITY OF ANY DOCUMENTS, SERVICES, INFORMATION, OR OTHER MATERIAL PROCESSED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
YOU ACKNOWLEDGE THAT THE PLACEMENT AND APPEARANCE OF SIGNATURES, DATES, AND OTHER FIELDS (E.G., FONT SIZE, SPACING) IN THE FINALIZED PDF DOCUMENT MAY HAVE MINOR VARIATIONS COMPARED TO THE ON-SCREEN PREVIEW DUE TO DIFFERENCES IN RENDERING TECHNOLOGIES. WHILE WE STRIVE FOR ACCURACY, WE DO NOT GUARANTEE PIXEL-PERFECT CONVERSION.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NomadCode LLC, known as MJ-Tech, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY USER CONTENT OBTAINED FROM OR PROCESSED BY THE SERVICE; (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR USER CONTENT; OR (V) ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR MAXIMUM AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (I) THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICE DURING THE THREE (3) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR (II) ONE DOLLAR (USD $1.00), GIVEN THAT THE CORE SERVICE IS PROVIDED FREE OF CHARGE.
9. Indemnification
You agree to defend, indemnify, and hold harmless NomadCode LLC, known as MJ-Tech and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to reasonable attorney's fees), resulting from or arising out of: (a) your use and access of the Service, by you or any person using your device; (b) a breach of these Terms by you; or (c) your User Content.
10. Termination
We may terminate or suspend your access to our Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your use of the service, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions regarding User Content (as defined), warranty disclaimers, indemnity, and limitations of liability.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect by posting the updated terms on this page and updating the "Effective Date" at the top. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
13. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and NomadCode LLC, known as MJ-Tech, regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
